Jurisdiction

The Site is controlled by Neugene from its office located within the United Kingdom. If the Site is accessed from outside of this location, it is done at User's sole risk and discretion with the understanding that laws applicable in a foreign location may not be applicable to the Site. Enforcement and/or any action related to enforcement of these Terms of Use are governed by the jurisdiction of courts located within the United Kingdom. The English courts shall have exclusive jurisdiction over any dispute arising out of your use or non-use of this site.



Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration administered by The London Court of International Arbitration, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof and the arbitration will be before a single arbitrator.

Indemnification

Users of the Site agree to indemnify, defend and hold harmless Neugene and its affiliates, and their officers, directors, employees, contractors, agents, licensors, service providers, subcontractors and suppliers, from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys' fees and court costs, arising or resulting from use of the Site and any violation of these Terms of Use. If technical disruption of the Site or the systems supporting the Site occurs due to your action or inaction, you agree to be responsible for any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys' fees and court costs, arising or resulting from that disruption. Neugene reserves the rights, at its own expense, to assume exclusive defence and control of any matter otherwise subject to indemnification and, in such case, users of the Site agree to cooperate with Neugene in defense of such matter. Neugene is a U.K. based company, the core business is Information Technology, emphasis on the application of business and technical expertise to enable organizations in the creation, management, and optimization of or access to information and business processes, which is operational in U.K., U.S.A., and Australia. The board members on this site are responsible for the business related to information technology only. Neugene India is an independent entity who are strategic partners of Neugene U.K., authorized to run Human Resource and its allied services based out of India. Neugene International Academy is also an independent entity who are strategic partners of Neugene U.K., to run educational services based out of Malaysia. The use of this site by any user for collecting any information from Neugene’s website may exercise their due diligence at their discretion.



Entire Agreement

These Terms of Use along with any posted policies or operating rules constitute the entire understanding of Neugene and Users and supersedes any prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to the Site.



Severability

If any provision of these Terms of Use is unlawful, void or unenforceable, the remaining provisions of shall remain in full force.



No Assignment

You and the persons you represent may not assign this Agreement or the rights and obligations under this Agreement without the express prior written consent of Neugene, which may be withheld in Neugene's discretion. Neugene may assign this Agreement and its rights and obligations under this Agreement without your consent or the consent of any persons you represent.
